Terms of Service (English)
This English-language version governs in the event of any conflict with the Spanish-language version below.
1. Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between Pass Logistics LLC, d/b/a FleetWise ("FleetWise," "we," "us," or "our"), a Florida limited liability company, and the person or entity that registers for, accesses, or uses the FleetWise platform ("Customer," "you," or "your"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.
If you register on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "Customer" refers to that entity. If you register as an individual or independent host, these Terms apply to you personally.
2. Definitions
"Service" or "Platform" means the FleetWise software-as-a-service application, including its Fleet & Assets, Operations & Bookings, Financials & Reports, and Partners & Intelligence modules, all associated features, and related documentation.
"Connected Account" means any third-party account — including Stripe, Plaid, Google/Gmail, QuickBooks, and WhatsApp/SMS (Sent.dm) — that Customer authorizes FleetWise to access on Customer's behalf.
"Customer Data" means all data, records, and content that Customer or Customer's authorized users submit to, upload to, or generate through the Service, including vehicle records, trip and booking data, financial records, and information about Guests.
"Guest" means any individual who books, rents, or otherwise transacts with Customer through Customer's use of the Service, including through the Direct Bookings feature.
"Subscription Plan" means the pricing tier (Starter, Growth, Fleet Pro, Enterprise, or any successor tier) selected by Customer.
3. The Service
FleetWise provides cloud-based software to help fleet operators and vehicle rental hosts manage vehicles, compliance, trips, bookings, expenses, accounting, co-host relationships, and related operations.
FleetWise is a software provider only. FleetWise is not a party to, and assumes no responsibility for, any rental transaction, agreement, or dispute between Customer and any Guest, or between Customer and Turo or any other third-party platform.
4. Eligibility and Account Registration
You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate, current information during registration and to keep it up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Each Customer account is provisioned as an isolated tenant within FleetWise's multi-tenant platform; you may not attempt to access another Customer's account, data, or tenant environment.
5. Subscription Plans, Fees, and Billing
Access to the Service is billed according to the Subscription Plan selected by Customer at registration, based on fleet size and feature tier. Fees are billed in advance on a recurring monthly (or otherwise agreed) basis and automatically renew until cancelled.
If Customer's vehicle count exceeds the limit of its Subscription Plan, FleetWise may bill an additional per-vehicle fee as disclosed at checkout or in the applicable pricing page, or require Customer to upgrade its plan.
Founding / Early Access pricing. Customers who register during a period FleetWise designates as "Early Access" or "Founding" pricing will retain the rate in effect at the time of registration for as long as their subscription remains active and continuous, unless FleetWise discloses otherwise in writing at the time of enrollment. This commitment does not apply to Customers who cancel and later re-subscribe, or to new tiers or add-on features introduced after enrollment.
Except as set out above, FleetWise may change its fees with at least thirty (30) days' prior notice to Customer. Continued use of the Service after the effective date constitutes acceptance of the new fees. FleetWise may suspend or limit access to the Service for unpaid or failed payments after reasonable notice.
6. Free Trial
FleetWise may offer a free trial period (currently fourteen (14) days) that does not require a credit card at signup. Unless Customer cancels before the trial ends, Customer's account will convert to a paid Subscription Plan and billing will begin. FleetWise may modify, limit, or discontinue trial offers at any time.
7. Payment Processing via Stripe
Payments related to Direct Bookings and Customer subscriptions are processed through Stripe, Inc. and, where applicable, Stripe Connect. FleetWise is a software platform only — FleetWise is not a money transmitter, payment processor, bank, or financial institution, and does not custody Customer or Guest funds.
Customer's use of payment processing is subject to Stripe's own terms of service and underwriting requirements, which Customer must separately accept. FleetWise is not responsible or liable for any delay, hold, freeze, chargeback, error, or discontinuation of service by Stripe or by any bank or financial institution involved in processing a payment.
Customer is solely responsible for maintaining an active, compliant, connected Stripe account (or equivalent) and for resolving any issue directly with Stripe or the relevant financial institution.
8. Third-Party Integrations and Automated Data Sync
The Service may integrate with, or import data from, third-party platforms and services, including Turo (via automated or forwarded-email import), Plaid (bank account linking and transaction data for financial reconciliation), Google/Gmail, QuickBooks, WhatsApp/SMS (Sent.dm), and Google Calendar. These integrations depend on the continued availability, format, and behavior of those third-party services, which FleetWise does not control.
Certain features use automated processing, including artificial intelligence, to extract, interpret, and categorize data from emails, receipts, and other documents (for example, trip and booking details forwarded from Turo). This automated extraction may contain errors, omissions, or misclassifications.
Customer is solely responsible for reviewing and verifying the accuracy of any automatically imported or extracted data — including trip records, vehicle matching, and financial entries — before relying on it for business, accounting, tax, or legal purposes. FleetWise is not liable for inaccuracies in automatically extracted data, for missed or delayed synchronizations, or for the discontinuation, modification, or malfunction of any third-party integration.
9. Customer Data; Ownership; Multi-Tenant Isolation
As between the parties, Customer retains all right, title, and interest in and to Customer Data. Customer grants FleetWise a limited, non-exclusive license to access, use, host, and process Customer Data solely to provide, maintain, and improve the Service.
FleetWise logically isolates each Customer's data within its shared, multi-tenant infrastructure using access controls designed to prevent one Customer from accessing another Customer's data. FleetWise takes reasonable measures to maintain this isolation but does not guarantee that its systems will be free from vulnerabilities.
Upon termination of Customer's account, Customer may export Customer Data for a period of thirty (30) days. After that period, FleetWise may delete Customer Data from its active systems in accordance with its data retention practices.
10. Acceptable Use
Customer agrees not to: (a) use the Service for any unlawful purpose or in violation of any third-party platform's terms of service, including Turo's; (b) attempt to access another Customer's data, account, or tenant environment, or circumvent any access control or tenant-isolation mechanism; (c) reverse engineer, decompile, or attempt to extract the source code of the Service; (d) scrape, resell, sublicense, or provide unauthorized third-party access to the Service; or (e) interfere with or disrupt the integrity or performance of the Service.
11. Intellectual Property
FleetWise and its licensors retain all right, title, and interest in and to the Service, including all software, design, trademarks, and documentation. No rights are granted to Customer except the limited right to access and use the Service as set out in these Terms.
Customer retains all rights in Customer Data and any content Customer uploads to the Service.
12. AI-Assisted Features, Telemetry, and Analytics; No Professional Advice
Certain features — including Fleet Copilot, automated email/receipt extraction, and AI-assisted accounting reconciliation — rely on automated or AI-based processing and may produce inaccurate, incomplete, or unexpected results.
AI and Accounting Outputs: Outputs from these features are provided for informational and operational convenience only and do not constitute accounting, tax, legal, or financial advice. Customer is solely responsible for reviewing and verifying any figures, mileage logs, financial reports, or other outputs — and for obtaining confirmation from a qualified accountant, tax preparer, or attorney where appropriate — before relying on them for tax filings (including IRS mileage deductions), regulatory compliance, or any other purpose.
Dashboard, Telemetry, and Analytics Disclaimer: All metrics, profit-per-vehicle calculations, financial dashboards, mileage logs, and telemetry data provided through the Service are generated for operational convenience and informational guidance only. FleetWise makes no warranty, guarantee, or representation regarding the accuracy, completeness, or real-time status of any dashboard metric or financial report. All reliance on dashboard analytics and automated reports is at Customer's sole risk.
13. Confidentiality
Each party agrees to protect the other party's non-public, confidential information with at least the same degree of care it uses to protect its own confidential information of similar nature, and not to disclose such information to third parties except as necessary to perform its obligations under these Terms, as required by law, or as otherwise permitted in writing.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. FLEETWISE DOES NOT WARRANT THAT THE SERVICE WILL REMAIN COMPATIBLE WITH, OR THAT ANY THIRD-PARTY PLATFORM (INCLUDING TURO, STRIPE, GOOGLE, QUICKBOOKS, OR TWILIO/WHATSAPP) WILL CONTINUE TO BE AVAILABLE OR INTEGRATE WITH THE SERVICE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FLEETWISE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY CUSTOMER TO FLEETWISE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THIS LIMITATION DOES NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
16. Indemnification
Customer agrees to indemnify, defend, and hold harmless FleetWise and its officers, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer's use of the Service; (b) any rental transaction, dispute, or communication between Customer and a Guest; (c) Customer's breach of these Terms; (d) Customer's violation of applicable law or any third party's rights; or (e) inaccurate or unlawful data submitted by Customer.
17. Term and Termination
These Terms remain in effect from the date Customer first accesses the Service until terminated as set out below. Customer may cancel its subscription at any time, effective at the end of the then-current billing cycle. FleetWise may suspend or terminate Customer's account for breach of these Terms, including after a reasonable opportunity to cure where practicable, or immediately in cases of illegal use, fraud, or a security risk to the Service or other Customers.
Upon termination, Customer's right to access the Service ends. Sections that by their nature should survive termination — including Payment Processing, Third-Party Integrations, Data Ownership, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Binding Arbitration, and Governing Law — survive termination. Fees paid are non-refundable except as required by law.
18. Relationship of the Parties
Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between FleetWise and Customer, regardless of whether Customer is a company or an individual host. Customer is solely responsible for its own business operations, including compliance with laws applicable to vehicle rental, insurance, taxation, and (where applicable) its relationship with its own co-hosts, drivers, or staff.
19. Compliance with Laws; Insurance
Customer is solely responsible for obtaining and maintaining all licenses, permits, registrations, and insurance (including any commercial auto or rental-specific insurance) required to lawfully operate its vehicle rental or fleet business, and for complying with all applicable laws, including the terms of service of any third-party platform Customer uses, such as Turo.
No Insurance Provided by FleetWise: FleetWise is a software provider only and does not offer, sell, underwrite, or broker insurance policies, protection packages, or damage waivers of any kind. Customer acknowledges and agrees that they are solely responsible for obtaining and maintaining all required commercial auto, rental, or platform-specific insurance (such as Turo protection plans) for their fleet. FleetWise disclaims all liability for any uninsured losses, accidents, claim denials, or vehicle damages.
FleetWise's mileage-tracking, accounting-sync, and reporting features are provided to assist Customer's recordkeeping and do not guarantee compliance with IRS requirements or any other regulatory standard. Customer remains solely responsible for the accuracy of its own tax filings and regulatory submissions.
20. Force Majeure
Neither party will be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, labor dispute, internet or utility failure, or failure or unavailability of a third-party service or platform (including Turo, Stripe, Google, or Sent.dm).
21. Governing Law, Dispute Resolution, and Binding Arbitration
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
Binding Arbitration and Class Action Waiver: Except for disputes that qualify for small claims court, all disputes, claims, or controversies arising out of or relating to these Terms, the Service, or your relationship with FleetWise shall be resolved exclusively through binding individual arbitration, and not in a class, representative, or consolidated action. You and FleetWise expressly waive any right to a trial by jury or to participate in a class-action lawsuit. The arbitration shall be conducted in Florida under the rules of the American Arbitration Association (AAA), and the arbitrator's decision shall be final and binding.
Venue: The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida for any permitted court actions arising out of or related to these Terms, and each party waives any objection to such venue.
22. Modifications to These Terms
FleetWise may modify these Terms from time to time. FleetWise will provide notice of material changes — by email or in-app notification — at least thirty (30) days before they take effect for then-current paid Customers. Continued use of the Service after the effective date of any change constitutes acceptance of the revised Terms.
23. Miscellaneous
These Terms, together with any order form or in-app disclosures referenced herein, constitute the entire agreement between the parties regarding the Service and supersede any prior agreements on this subject. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. FleetWise's failure to enforce any provision is not a waiver of that provision. Customer may not assign these Terms without FleetWise's prior written consent; FleetWise may assign these Terms in connection with a merger, acquisition, or sale of assets.
Bilingual versions. These Terms are made available in both English and Spanish for Customer's convenience. In the event of any conflict or inconsistency between the two versions, the English version controls and prevails.

25. SMS/WhatsApp Messaging Consent
By providing your mobile phone number and using FleetWise's SMS or WhatsApp features, you consent to receive text messages (SMS) and WhatsApp messages from FleetWise related to your account, bookings, appointment confirmations, reminders, and pickup/return notices. Message frequency varies based on your account activity. Message and data rates may apply. Reply STOP at any time to opt out of text messages, or HELP for assistance. Consent to receive SMS/WhatsApp messages is not a condition of purchasing any goods or services.

1. Aceptación de los Términos
Estos Términos de Servicio ("Términos") constituyen un acuerdo legalmente vinculante entre Pass Logistics LLC, operando bajo el nombre comercial FleetWise ("FleetWise," "nosotros" o "nuestro"), una sociedad de responsabilidad limitada constituida en el estado de Florida, y la persona o entidad que se registra, accede o utiliza la plataforma FleetWise ("Cliente," "usted" o "su"). Al crear una cuenta o utilizar de cualquier forma el Servicio, usted acepta quedar obligado por estos Términos.

2. Definiciones
"Servicio" o "Plataforma" significa la aplicación de software como servicio de FleetWise, incluidos sus módulos de Flota y Activos, Operaciones y Reservas, Finanzas y Reportes, y Socios e Inteligencia, así como todas las funciones asociadas y la documentación relacionada.
"Cuenta Conectada" significa cualquier cuenta de terceros —incluyendo Stripe, Plaid, Google/Gmail, QuickBooks y WhatsApp/SMS (Sent.dm)— que el Cliente autorice a FleetWise a acceder en su nombre.

3. El Servicio
FleetWise provee software basado en la nube para ayudar a operadores de flotas y hosts de renta de vehículos a gestionar vehículos, cumplimiento normativo, viajes, reservas, gastos, contabilidad, relaciones de co-anfitrión y operaciones relacionadas.
FleetWise es únicamente un proveedor de software. FleetWise no es parte de, ni asume responsabilidad alguna por, ninguna transacción de renta, acuerdo o disputa entre el Cliente y cualquier Huésped, o entre el Cliente y Turo o cualquier otra plataforma de terceros.
4. Elegibilidad y Registro de Cuenta
Usted debe tener al menos 18 años de edad y capacidad legal para celebrar un contrato vinculante para usar el Servicio. Usted se compromete a proporcionar información precisa y actualizada durante el registro y a mantenerla al día.
Usted es responsable de mantener la confidencialidad de las credenciales de su cuenta y de toda actividad que ocurra bajo la misma. Cada cuenta de Cliente se aprovisiona como un entorno aislado (tenant) dentro de la plataforma multi-tenant de FleetWise; usted no debe intentar acceder a la cuenta, datos o entorno de otro Cliente.
5. Planes de Suscripción, Tarifas y Facturación
El acceso al Servicio se factura de acuerdo con el Plan de Suscripción seleccionado por el Cliente al momento del registro, según el tamaño de la flota y el nivel de funciones. Las tarifas se facturan por adelantado de forma recurrente (mensual, u otro período acordado) y se renuevan automáticamente hasta su cancelación.
Si el número de vehículos del Cliente excede el límite de su Plan de Suscripción, FleetWise podrá facturar una tarifa adicional por vehículo, según lo indicado en el checkout o en la página de precios aplicable, o requerir que el Cliente actualice su plan.
Precio de Fundador / Acceso Anticipado. Los Clientes que se registren durante un período que FleetWise designe como de precio "Founding" o de "Acceso Anticipado" conservarán la tarifa vigente al momento de su registro mientras su suscripción permanezca activa y continua, salvo que FleetWise indique lo contrario por escrito al momento de la inscripción. Este compromiso no aplica a Clientes que cancelen y posteriormente se vuelvan a suscribir, ni a nuevos niveles o funciones adicionales introducidos después de la inscripción.
Salvo lo indicado anteriormente, FleetWise podrá modificar sus tarifas con al menos treinta (30) días de aviso previo al Cliente. El uso continuado del Servicio después de la fecha de vigencia constituye la aceptación de las nuevas tarifas. FleetWise podrá suspender o limitar el acceso al Servicio por pagos no realizados o fallidos, previo aviso razonable.
6. Prueba Gratuita
FleetWise podrá ofrecer un período de prueba gratuita (actualmente de catorce (14) días) que no requiere tarjeta de crédito al momento del registro. Salvo que el Cliente cancele antes de que finalice la prueba, su cuenta se convertirá a un Plan de Suscripción pagado y comenzará la facturación. FleetWise podrá modificar, limitar o descontinuar las ofertas de prueba en cualquier momento.
7. Procesamiento de Pagos a través de Stripe
Los pagos relacionados con Reservas Directas y las suscripciones del Cliente se procesan a través de Stripe, Inc. y, cuando corresponda, Stripe Connect. FleetWise es únicamente una plataforma de software — FleetWise no es un transmisor de dinero, procesador de pagos, banco ni institución financiera, y no custodia fondos del Cliente ni de los Huéspedes.
El uso del procesamiento de pagos por parte del Cliente está sujeto a los propios términos de servicio y requisitos de suscripción de Stripe, los cuales el Cliente debe aceptar por separado. FleetWise no es responsable de ningún retraso, retención, congelamiento, contracargo, error o interrupción del servicio por parte de Stripe o de cualquier banco o institución financiera involucrada en el procesamiento de un pago.
El Cliente es el único responsable de mantener una cuenta de Stripe (o equivalente) activa, conectada y en cumplimiento, y de resolver directamente con Stripe o la institución financiera correspondiente cualquier inconveniente.
8. Integraciones con Terceros y Sincronización Automática de Datos
El Servicio puede integrarse con, o importar datos de, plataformas y servicios de terceros, incluyendo Turo (mediante importación automática o de correos reenviados), Plaid (vinculación de cuentas bancarias y datos de transacciones para reconciliación financiera), Google/Gmail, QuickBooks, WhatsApp/SMS (Sent.dm) y Google Calendar. Estas integraciones dependen de la disponibilidad, formato y comportamiento continuos de dichos servicios de terceros, los cuales FleetWise no controla.
Ciertas funciones utilizan procesamiento automatizado, incluyendo inteligencia artificial, para extraer, interpretar y clasificar datos provenientes de correos electrónicos, recibos y otros documentos (por ejemplo, detalles de viajes y reservas reenviados desde Turo). Esta extracción automatizada puede contener errores, omisiones o clasificaciones incorrectas.
El Cliente es el único responsable de revisar y verificar la exactitud de cualquier dato importado o extraído automáticamente —incluyendo registros de viajes, asignación de vehículos y asientos financieros— antes de basarse en ellos para fines comerciales, contables, fiscales o legales. FleetWise no es responsable de inexactitudes en los datos extraídos automáticamente, de sincronizaciones omitidas o retrasadas, ni de la interrupción, modificación o mal funcionamiento de cualquier integración de terceros.
9. Datos del Cliente; Propiedad; Aislamiento Multi-Tenant
Entre las partes, el Cliente conserva todos los derechos, título e interés sobre los Datos del Cliente. El Cliente otorga a FleetWise una licencia limitada y no exclusiva para acceder, usar, alojar y procesar los Datos del Cliente únicamente con el fin de proporcionar, mantener y mejorar el Servicio.
FleetWise aísla lógicamente los datos de cada Cliente dentro de su infraestructura compartida multi-tenant, utilizando controles de acceso diseñados para impedir que un Cliente acceda a los datos de otro Cliente. FleetWise toma medidas razonables para mantener este aislamiento, pero no garantiza que sus sistemas estén libres de vulnerabilidades.
Al terminar la cuenta del Cliente, este podrá exportar sus Datos durante un período de treinta (30) días. Transcurrido dicho período, FleetWise podrá eliminar los Datos del Cliente de sus sistemas activos conforme a sus prácticas de retención de datos.
10. Uso Aceptable
El Cliente se compromete a no: (a) usar el Servicio para fines ilícitos o en violación de los términos de servicio de cualquier plataforma de terceros, incluyendo los de Turo; (b) intentar acceder a los datos, cuenta o entorno de otro Cliente, o eludir cualquier mecanismo de control de acceso o aislamiento de tenant; (c) realizar ingeniería inversa, descompilar o intentar extraer el código fuente del Servicio; (d) extraer datos mediante scraping, revender, sublicenciar u otorgar acceso no autorizado a terceros; o (e) interferir con o afectar la integridad o el rendimiento del Servicio.
11. Propiedad Intelectual
FleetWise y sus licenciantes conservan todos los derechos, título e interés sobre el Servicio, incluyendo todo el software, diseño, marcas y documentación. No se otorga ningún derecho al Cliente salvo el derecho limitado de acceder y usar el Servicio conforme a estos Términos.
El Cliente conserva todos los derechos sobre los Datos del Cliente y cualquier contenido que suba al Servicio.
12. Funciones Asistidas por IA, Telemetría y Analítica; No Constituyen Asesoría Profesional
Ciertas funciones —incluyendo Fleet Copilot, la extracción automática de correos/recibos, y la reconciliación contable asistida por IA— dependen de procesamiento automatizado o basado en inteligencia artificial y pueden producir resultados inexactos, incompletos o inesperados.
Resultados de IA y Contabilidad: Los resultados de estas funciones se proporcionan únicamente con fines informativos y de conveniencia operativa, y no constituyen asesoría contable, fiscal, legal ni financiera. El Cliente es el único responsable de revisar y verificar cualquier cifra, bitácora de millaje, reporte financiero u otro resultado —y de obtener confirmación de un contador, preparador de impuestos o abogado calificado cuando corresponda— antes de basarse en ellos para presentaciones fiscales (incluyendo deducciones de millaje ante el IRS), cumplimiento normativo, o cualquier otro fin.
Descargo de Responsabilidad sobre Tableros, Telemetría y Analítica: Todas las métricas, cálculos de rentabilidad por vehículo, tableros financieros, bitácoras de millaje y datos de telemetría proporcionados a través del Servicio se generan únicamente para conveniencia operativa y orientación informativa. FleetWise no ofrece garantías ni representaciones sobre la exactitud, integridad o estado en tiempo real de ninguna métrica del tablero o reporte financiero. Toda confianza o uso de la analítica del tablero y reportes automatizados es bajo el riesgo exclusivo del Cliente.
13. Confidencialidad
Cada parte se compromete a proteger la información confidencial y no pública de la otra parte con al menos el mismo grado de cuidado que utiliza para proteger su propia información confidencial de naturaleza similar, y a no divulgar dicha información a terceros salvo que sea necesario para cumplir sus obligaciones bajo estos Términos, según lo requiera la ley, o según lo permitido por escrito.
14. Exclusión de Garantías
EL SERVICIO SE PROPORCIONA "TAL CUAL" Y "SEGÚN DISPONIBILIDAD," SIN GARANTÍAS DE NINGÚN TIPO, YA SEAN EXPRESAS, IMPLÍCITAS O LEGALES, INCLUYENDO GARANTÍAS DE COMERCIABILIDAD, IDONEIDAD PARA UN PROPÓSITO PARTICULAR, NO INFRACCIÓN, O QUE EL SERVICIO SERÁ ININTERRUMPIDO, LIBRE DE ERRORES O SEGURO. FLEETWISE NO GARANTIZA QUE EL SERVICIO PERMANECERÁ COMPATIBLE CON, NI QUE CUALQUIER PLATAFORMA DE TERCEROS (INCLUYENDO TURO, STRIPE, GOOGLE, QUICKBOOKS O TWILIO/WHATSAPP) CONTINUARÁ DISPONIBLE O INTEGRÁNDOSE CON EL SERVICIO.
15. Limitación de Responsabilidad
EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY, NINGUNA DE LAS PARTES SERÁ RESPONSABLE POR DAÑOS INDIRECTOS, INCIDENTALES, CONSECUENTES, ESPECIALES O PUNITIVOS, NI POR PÉRDIDA DE GANANCIAS, INGRESOS O DATOS, DERIVADOS DE O RELACIONADOS CON ESTOS TÉRMINOS O EL SERVICIO, INCLUSO SI SE LE HUBIERA ADVERTIDO DE LA POSIBILIDAD DE DICHOS DAÑOS.
LA RESPONSABILIDAD TOTAL ACUMULADA DE FLEETWISE DERIVADA DE O RELACIONADA CON ESTOS TÉRMINOS O EL SERVICIO NO EXCEDERÁ EL MAYOR ENTRE (A) LAS TARIFAS PAGADAS POR EL CLIENTE A FLEETWISE EN LOS DOCE (12) MESES ANTERIORES AL HECHO QUE ORIGINÓ EL RECLAMO, O (B) CIEN DÓLARES ESTADOUNIDENSES ($100). ESTA LIMITACIÓN NO APLICA A RESPONSABILIDAD QUE NO PUEDA LIMITARSE CONFORME A LA LEY APLICABLE, INCLUYENDO RESPONSABILIDAD POR NEGLIGENCIA GRAVE O DOLO.
16. Indemnización
El Cliente se compromete a indemnizar, defender y mantener indemne a FleetWise y a sus directivos, empleados y agentes frente a cualquier reclamo, daño, responsabilidad y gasto (incluyendo honorarios razonables de abogados) que surja de o esté relacionado con: (a) el uso del Servicio por parte del Cliente; (b) cualquier transacción de renta, disputa o comunicación entre el Cliente y un Huésped; (c) el incumplimiento de estos Términos por parte del Cliente; (d) la violación por parte del Cliente de la ley aplicable o de los derechos de terceros; o (e) datos inexactos o ilícitos proporcionados por el Cliente.
17. Vigencia y Terminación
Estos Términos permanecen vigentes desde la fecha en que el Cliente accede por primera vez al Servicio hasta su terminación conforme a lo aquí establecido. El Cliente puede cancelar su suscripción en cualquier momento, con efecto al final del ciclo de facturación vigente. FleetWise podrá suspender o terminar la cuenta del Cliente por incumplimiento de estos Términos, incluyendo, cuando sea posible, después de una oportunidad razonable para subsanarlo, o de forma inmediata en casos de uso ilícito, fraude, o riesgo de seguridad para el Servicio u otros Clientes.
Al terminar, el derecho del Cliente a acceder al Servicio finaliza. Las secciones que por su naturaleza deban sobrevivir a la terminación —incluyendo Procesamiento de Pagos, Integraciones con Terceros, Propiedad de Datos, Confidencialidad, Exclusión de Garantías, Limitación de Responsabilidad, Indemnización, Arbitraje Vinculante y Ley Aplicable— sobreviven a la terminación. Las tarifas pagadas no son reembolsables, salvo que la ley lo exija.
18. Relación entre las Partes
Nada en estos Términos crea una relación de empleo, sociedad, coinversión o agencia entre FleetWise y el Cliente, sin importar si el Cliente es una empresa o un host individual. El Cliente es el único responsable de sus propias operaciones comerciales, incluyendo el cumplimiento de las leyes aplicables a la renta de vehículos, seguros, impuestos y, cuando corresponda, su relación con sus propios co-anfitriones, conductores o personal.
19. Cumplimiento de la Ley; Seguros
El Cliente es el único responsable de obtener y mantener todas las licencias, permisos, registros y seguros (incluyendo cualquier seguro comercial de automóviles o específico para renta) necesarios para operar lícitamente su negocio de renta de vehículos o flota, y de cumplir con todas las leyes aplicables, incluyendo los términos de servicio de cualquier plataforma de terceros que utilice, como Turo.
Ningún seguro provisto por FleetWise: FleetWise es únicamente un proveedor de software y no ofrece, vende, suscribe ni intermedia pólizas de seguro, paquetes de protección o exenciones de daños de ningún tipo. El Cliente reconoce y acepta que es el único responsable de obtener y mantener todos los seguros comerciales de automóviles, de renta o específicos de plataformas (como los planes de protección de Turo) para su flota. FleetWise renuncia a toda responsabilidad por pérdidas no aseguradas, accidentes, denegaciones de reclamaciones o daños a vehículos.
Las funciones de seguimiento de millaje, sincronización contable y generación de reportes de FleetWise se proporcionan para asistir en el mantenimiento de registros del Cliente y no garantizan el cumplimiento de los requisitos del IRS ni de ningún otro estándar regulatorio. El Cliente sigue siendo el único responsable de la exactitud de sus propias declaraciones fiscales y presentaciones regulatorias.
20. Fuerza Mayor
Ninguna de las partes será responsable por retrasos o incumplimientos derivados de causas fuera de su control razonable, incluyendo actos de la naturaleza, desastres naturales, guerra, terrorismo, conflictos laborales, fallas de internet o servicios públicos, o fallas o indisponibilidad de un servicio o plataforma de terceros (incluyendo Turo, Stripe, Google o Sent.dm).
21. Ley Aplicable, Resolución de Disputas y Arbitraje Vinculante
Estos Términos se rigen por las leyes del Estado de Florida, sin considerar sus principios de conflicto de leyes.
Arbitraje Vinculante y Renuncia a Demanda Colectiva: Excepto para disputas que califiquen para tribunales de reclamos menores (small claims court), todas las disputas, reclamaciones o controversias que surjan de o estén relacionadas con estos Términos, el Servicio o su relación con FleetWise se resolverán exclusivamente mediante arbitraje individual vinculante, y no en una acción colectiva, representativa o consolidada. Usted y FleetWise renuncian expresamente a cualquier derecho a un juicio por jurado o a participar en una demanda colectiva (class-action). El arbitraje se llevará a cabo en Florida bajo las reglas de la Asociación Americana de Arbitraje (AAA), y la decisión del árbitro será final y vinculante.
Jurisdicción: Las partes consienten la jurisdicción y competencia exclusiva de los tribunales estatales y federales ubicados en Florida para cualquier acción judicial permitida que surja de o esté relacionada con estos Términos, y cada parte renuncia a cualquier objeción respecto a dicha jurisdicción.
22. Modificaciones a Estos Términos
FleetWise podrá modificar estos Términos ocasionalmente. FleetWise notificará los cambios materiales —por correo electrónico o notificación dentro de la aplicación— con al menos treinta (30) días de anticipación a su entrada en vigor para los Clientes de pago vigentes. El uso continuado del Servicio después de la fecha de vigencia constituye la aceptación de los Términos revisados.
23. Disposiciones Generales
Estos Términos, junto con cualquier formulario de pedido o aviso dentro de la aplicación referenciado en el presente documento, constituyen el acuerdo íntegro entre las partes respecto al Servicio y sustituyen cualquier acuerdo previo sobre esta materia. Si alguna disposición de estos Términos se considera inaplicable, las disposiciones restantes permanecerán en pleno vigor y efecto. El hecho de que FleetWise no haga cumplir alguna disposición no constituye una renuncia a la misma. El Cliente no podrá ceder estos Términos sin el consentimiento previo por escrito de FleetWise; FleetWise podrá ceder estos Términos en relación con una fusión, adquisición o venta de activos.
Versiones bilingües. Estos Términos están disponibles tanto en inglés como en español para conveniencia del Cliente. En caso de cualquier conflicto o inconsistencia entre ambas versiones, prevalecerá la versión en inglés.
